1. Introduction

Welcome to youtubesummary.com ("YouTube Summary", "we", "our", or "us"), operated by Valerian Engineering, EURL. By accessing or using our website, free tools, summaries, accounts, paid features, or any related services (the "Service"), you agree to comply with and be bound by these Terms of Service (the "Terms").

If you do not agree to these Terms, you must not access or use the Service. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

YouTube Summary provides tools that use software, automation, and artificial intelligence to extract transcripts, process subtitles, summarize YouTube videos, and provide related features. The Service may include free features and paid features, including but not limited to improved models, reprocessing, summary rewriting, translation, asking questions about a video, history, and other account-based functionality.

We may modify, suspend, limit, replace, or discontinue any part of the Service at any time, including free or paid features, provided that this does not affect mandatory rights you may have under applicable law.

3. Eligibility and Accounts

Some features may be available without an account. Other features may require an account, authentication through a third-party provider, an active subscription, or another form of access control.

  • You must provide accurate information when creating or using an account.
  • You are responsible for keeping your credentials and third-party login access secure.
  • You are responsible for all activity that occurs under your account.
  • You must notify us promptly if you believe your account has been compromised.

  • Unless stated otherwise, subscriptions renew automatically on a monthly basis until cancelled.
  • You authorize us and our payment processor to charge the payment method you provide for recurring subscription fees, applicable taxes, and other charges.
  • You are responsible for keeping payment information current.
  • We may change prices or plan features prospectively. Where required by law, we will provide notice before changes apply.

Payments may be processed by third-party payment providers such as Stripe. We do not store full payment card numbers on our servers. Payment processing is subject to the payment provider's terms and privacy policy.

6. Cancellation, Refunds, and Trial Offers

You may cancel a subscription through the account area, customer portal, or any other method we make available. Cancellation stops future renewals but does not automatically refund past charges, except where required by applicable law or expressly stated at checkout.

If we offer trials, discounts, coupons, beta access, or promotional plans, we may modify, withdraw, or limit those offers at our discretion. Abuse of trials or promotions may result in account suspension or termination.

7. AI-Generated Output and No Professional Advice

The Service may generate summaries, key points, translations, rewritten content, answers, and other AI-assisted outputs. AI-generated content may be inaccurate, incomplete, outdated, misleading, or unsuitable for your intended purpose.

  • You are solely responsible for reviewing and verifying outputs before relying on them.
  • Outputs are provided for informational and productivity purposes only.
  • The Service does not provide legal, financial, medical, academic, professional, or safety-critical advice.
  • You must not rely on outputs as the sole basis for important decisions.

To the maximum extent permitted by law, Valerian Engineering is not liable for decisions, actions, losses, or damages resulting from your use of, reliance on, or inability to use AI-generated outputs.

8. YouTube, Third-Party Content, and Platform Limitations

The Service may process publicly available YouTube videos, subtitles, transcripts, thumbnails, metadata, and links. YouTube and other third-party platforms are not operated by us. Their own terms, policies, availability, copyright rules, and technical restrictions apply.

We do not guarantee that any video can be summarized, that subtitles will be available, that a third-party platform will remain accessible, or that content from third-party platforms may be used for your intended purpose. You are responsible for ensuring that your use of third-party content complies with applicable law and third-party terms.

9. User Content and License

You may submit URLs, prompts, requests, feedback, ratings, account information, and other input to the Service ("User Content"). You retain any rights you have in your User Content.

By submitting User Content, you grant Valerian Engineering a worldwide, non-exclusive, royalty-free license to host, process, store, reproduce, modify, display, transmit, and use that User Content as necessary to provide, secure, debug, analyze, and improve the Service and to comply with legal obligations.

You represent that you have the rights and permissions necessary to submit User Content and use the Service in connection with it.

10. Our Intellectual Property

The Service, website, software, interface, branding, text, graphics, original content, and other materials created by Valerian Engineering are protected by intellectual property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, sell, lease, sublicense, or exploit any part of the Service without our prior written permission.

11. Feedback and Ratings

If you provide feedback, ratings, suggestions, or ideas, you grant us the right to use them without restriction or compensation to improve, market, develop, and operate the Service. You must not submit confidential information through feedback or rating tools.

To the maximum extent permitted by applicable law, Valerian Engineering, its owner, affiliates, contractors, providers, and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, business, goodwill, data, content, or opportunity; service interruption; AI-output errors; payment or provider failures; or damages arising from third-party platforms or content.

To the maximum extent permitted by applicable law, our total aggregate liability for any claim related to the Service shall not exceed the greater of: (a) the amount you paid to us for the Service during the three months preceding the event giving rise to the claim; or (b) 50 EUR.

These limitations apply whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if we have been advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot legally be excluded.

16. Indemnification

You agree to defend, indemnify, and hold harmless Valerian Engineering, its owner, affiliates, contractors, providers, and representatives from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your User Content, your breach of these Terms, your violation of law, or your infringement of third-party rights.

17. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, including accounts and Paid Features, if we reasonably believe that you breached these Terms, created risk or liability, abused the Service, failed to pay amounts due, or used the Service in a way that may harm us, other users, providers, or third parties.

You may stop using the Service at any time. Termination does not relieve you of obligations or amounts accrued before termination.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of France, without regard to conflict of law principles. Where legally permitted, disputes arising out of or relating to these Terms or the Service shall be submitted to the competent courts or dispute-resolution bodies applicable to Valerian Engineering. Where applicable and mutually agreed, disputes may be resolved through mediation or arbitration under the rules of the Centre de Médiation et d'Arbitrage de Paris (CMAP).

We may update these Terms from time to time. Updated Terms will be posted on this page. Where required by law or where changes materially affect your rights, we will provide additional notice. Your continued use of the Service after changes become effective means you accept the updated Terms.
